CHRISTOPHER A. BRODMAN
Chris concentrates his busy practice in the area of corporate law, where he represents corporate clients in mergers and acquisitions, various capital transactions, corporate reorganizations, succession planning, joint ventures, sale of debt and equity securities, senior and subordinated debt financing, secured transactions, stock rights plans, shareholder matters, product sales and distribution networking. He has represented clients in various forms of real estate transactions, including leasing, the purchase and sale of real estate, and real estate development.
Chris has extensive experience working with a wide array of industries providing counsel to clients in connection with corporate and business planning, shareholder matters, business succession, personnel matters, corporate and business transactions and corporate governance. A member of several business associations, he enjoys assisting his clients with the preservation and growth of their businesses.

Representative Matters
• Represented a national industrial products company in connection with its
acquisition of the assets of a regional industrial services business.
Representation included preparation of comprehensive due diligence
memorandum, drafting and documentation of all transaction documents
and interface with private equity sponsor of client and senior lenders.
• Represented a national manufacturing and distribution company in connection
with its acquisition of the assets of a regional service business located in the
Chicago area. Target company was unionized. Representation included
substantial labor analysis and preparation of comprehensive due diligence report.
• Currently representing a national industrial products company in connection
with its acquisition of the assets of an ancillary business engaged in providing
services to customers in the oil and gas drilling business. Representation included
the preparation of a comprehensive due diligence memorandum, drafting and
negotiation of all transaction documents and participation in business integration
analysis with client’s staff.
• Represented client in connection with its acquisition of the assets of a construction
products and services franchise. Engagement included representation in
connection with SBA loan and negotiation and analysis of franchise documents,
as well as negotiation and drafting the asset purchase documents.
