Biography

Leilani's practice involves work in corporate transactions, equity and debt offerings, shareholder matters, executive compensation, tax planning, healthcare law, and entity formation and liquidation. She represents both corporate clients-in fields ranging from biotechnology to industrial products-and members of the healthcare industry.

An original member of Metz Lewis, Leilani came to the legal profession by way of being a CPA. She often worked with attorneys as an accountant, and was drawn to the "transactional nature" of law.

Representative Matters

  • Represented large, multi-national industrial products corporation in nationwide
    corporate acquisitions. Representation included preparation of comprehensive due diligence memorandum, preparation of documentation and deliverables for senior mezzanine lenders, interface with private equity fund, and preparation of transaction documents.
  • Represented biotechnology companies in the sale of various rounds of preferred stock and bridge finacing.
  • Represented physician groups in the operational and formation aspects of ancillary services and joint ventures. Advised health care groups in general health care matters and regulatory compliance.
