Tom Freyvogel is an experienced corporate and securities transactional attorney, specializing in mergers & acquisitions, joint ventures, private equity, venture capital and general corporate matters.
Tom advises clients on sophisticated private equity-sponsored and strategic domestic and cross-border transactions. He represents private equity and venture capital funds, corporate venture capital groups, family offices and angel investors, as well as founders and emerging growth companies, in connection with their fundraising activities and investments.
Tom also serves as outside general counsel for middle market and emerging growth companies, advising on a wide range of strategic matters, including governance, corporate finance, executive compensation, licensing and commercial contracts. Tom assists clients in navigating complex legal issues that arise on a daily basis by relying on legal experience combined with business sense.

- Represented Workscape, Inc., a leading office furniture dealer, in the add-on acquisition of Continental Office’s furniture business in western Pennsylvania
- Represented MECCO Partners, LLC, a leader in developing innovative laser and dot peen solutions for permanent marking and traceability for more than 130 years, in its acquisition of the photonics division of FARO Technologies, Inc. (Nasdaq:FARO)
- Represented a leading global provider of digital platform engineering and software development services in its acquisition of an innovation design firm
- Represented private equity group sponsor in its formation and financing, as well as its acquisition of a leading office furniture dealer and soundmasking company through a leveraged buyout
- Represented Safaba Translation Systems LLC, a developer of automated text machine translation software, in its sale to Amazon.com Inc. (Nasdaq:AMZN)
- Represented Avis Budget Group (NYSE:CAR) in its rental program joint venture with Lyft (NYSE:LYFT)
