Is more than 10% of your company equity held by foreign investors?

If so, you likely need to file the BE-12 by June 30th.  Every five years, the Bureau of Economic Analysis (a Bureau of the US Department of Commerce) conducts its Benchmark Survey, designed to discern trends in foreign investment in US business.

Unlike the quarterly reporting required of companies with assets or sales exceeding $60 million/year, the 5-year Benchmark Survey has no asset or sale threshold, imposing reporting requirements on smaller companies that may be unfamiliar with their BEA reporting obligations.  If you have any questions, feel free to contact Bryan Seigworth or your Metz Lewis relationship attorney.
