Nick’s experience in these areas includes:

  • Drafting and negotiating loan documents, real estate contracts and documents, purchase and sale agreements, and business formation and governance documents;
  • Consummating real estate and business acquisition and sale transactions;
  • Litigating cases involving commercial disputes, breach of contract, employment law, fraud, and negligent misrepresentation; and
  • Enforcing and protecting creditors’ rights in mortgage foreclosure, collection actions, and bankruptcy cases.

REPRESENTATIVE TRANSACTIONS

  • Represented lender in connection with $10,000,000 construction financing for a high-rise apartment building
  • Represented lender in connection with a $35,000,000 revolving floor plan line of credit to an automobile dealership
  • Represented lender in connection with a $8,250,000 construction loan for an industrial training facility
  • Represented lender in connection with a $36,000,000 tax-exempt municipal financing loan
  • Represented lender in connection with a $16,000,000 indirect lease financing transaction involving specialized rail road cars
  • Represented lender in connection with $35,000,000 asset-based financing for manufacturing facility
  • Represented lender in connection with $18,000,000 syndicated construction financing loan
  • Represented lender in connection with numerous hotel construction loans
  • Significant experience representing lenders and developers throughout the Commonwealth of Pennsylvania in connection with residential real estate developments and development loans
  • Represented landlord of numerous industrial properties with respect to acquisition, leasing, tenant issues, and landlord-tenant actions
  • Regularly represented lenders in connection with tax-exempt municipal financing transactions
  • Regularly represented lender in connection with complex lease financing transactions involving deep understanding of UCC Article 9
  • Represented promoter/investor in connection with acquisition of $13,000,000.00 office building and related debt and equity financing

REPRESENTATIVE CASES

  • Prepared and argued a motion for summary judgment seeking the dismissal of a borrower’s counterclaims against a financial institution in a foreclosure action involving a $3,200,000 construction loan, which was granted in full, where the borrower contended that that the financial institution possessed information prior to the making of the loan which suggested that the loan would be substantially insufficient to complete the project. Summary judgment for mortgage foreclosure was also entered in favor of the financial institution
  • Successfully defended a financial institution in federal court against claims that its attempts to collect a borrower’s receivables ruined the borrower’s $20,000,000 business. All claims against the financial institution were dismissed on summary judgment, which was affirmed by the U.S. Court of Appeals for the Third Circuit
  • Caused the dismissal of a Chapter 11 bankruptcy case in which the debtor was involved in a fraudulent scheme which caused the client/creditor to be virtually unsecured on a $1,000,000 loan where the creditor should have been fully secured by a first position perfected security interest in the debtor’s collateral. Also successfully handled an accompanying dispute with the creditor’s title insurance carrier for indemnification
